These Terms and Conditions ("Terms") form a legally binding agreement between you and HH Ventures ("we", "us" or "our"), the owner and operator of the Wayfindr platform, mobile application, and associated services (collectively, the "Service"). By accessing or using the Service, you confirm that you accept these Terms and agree to be bound by them. If you do not agree, you must not use the Service.

These Terms should be read alongside our End User Licence Agreement (EULA) and Privacy Policy, both of which are incorporated by reference. Where there is any conflict between these Terms and the EULA, the EULA takes precedence in relation to your licence to use the software.

1. About Us

HH Ventures also operates other consumer products. These Terms apply exclusively to the Wayfindr Service.

2. Eligibility

You must be at least 13 years old to use the Service. If you are under 18, you confirm that you have obtained the consent of a parent or guardian, and that they have read and agreed to these Terms on your behalf.

3. The Service

3.1 What Wayfindr Does

Wayfindr is an AI-powered conversational route planning service for outdoor activities in the United Kingdom. The Service allows users to describe a desired outing in natural language and receive a generated route suggestion incorporating Ordnance Survey path data, rights-of-way information, and third-party location services including Google Places. The Service currently supports walking, hiking, and trail running.

Key features include: natural language route generation through conversational AI interaction; activity-specific routing that endeavours to respect legal rights of way; route export as GPX files; in-app GPS navigation with live position tracking and off-route alerting; offline map caching; optional route-specific weather forecasts; and route refinement through follow-up conversational inputs.

3.2 Service Availability

We aim to make the Service available at all times but do not guarantee uninterrupted access. Navigation mode and offline caching depend on your device hardware and network conditions. We are not liable for loss or inconvenience caused by Service unavailability.

3.3 Service Changes

We may modify, suspend, or discontinue any part of the Service at any time. Where changes are material, we will endeavour to notify you in advance via the App or email.

4. Accounts

You must provide accurate and complete information when registering and keep it up to date. You are responsible for maintaining the confidentiality of your login credentials and all activity under your account. Notify us immediately at support@hhventures.co if you suspect unauthorised access.

We may suspend or terminate your account if you breach these Terms, if your account is inactive for an extended period, or if we discontinue the Service. You may close your account at any time through the account settings in the App.

5. Acceptable Use

You may use the Service solely for lawful personal, non-commercial purposes. You must not:

  • Generate or export routes that require trespass or violate applicable access legislation, including the Highways Act 1980, the Countryside and Rights of Way Act 2000, and the Land Reform (Scotland) Act 2003.
  • Input false or misleading information into the conversational route planner.
  • Attempt to manipulate, deceive, or jailbreak the AI systems that power the Service.
  • Probe, scan, or test the vulnerability of the Service or its infrastructure.
  • Use automated tools to scrape or harvest data from the App.
  • Use the Service for any commercial purpose without our prior written consent.
  • Place an unreasonable burden on our infrastructure or interfere with the experience of other users.

6. Routes, Navigation and Safety

6.1 Nature of Route Outputs

Routes generated by the Service are produced by an AI system using third-party data sources including Ordnance Survey path data and Google Places. Route outputs are suggestions only, not a guarantee of safe, legal, or suitable passage. OS data may not reflect recent changes to rights of way, path closures, or access conditions. You are solely responsible for verifying that any generated route is appropriate before departing.

6.2 Navigation Mode

GPS accuracy is subject to device capability and environmental conditions and may be unreliable in valleys, under tree cover, or in urban areas. Off-route alerts are indicative only and must not be relied upon as a primary navigation or safety tool.

6.3 Offline Maps

Cached maps are static snapshots of data at the time of download. Download the most recent version immediately before setting out.

6.4 Your Safety Obligations

By using the Service you acknowledge that outdoor activities carry inherent risks. Any weather forecast shown is indicative, may change, and is not a real-time hazard warning or an assessment that a route is safe. The Service does not provide emergency services connectivity. Check an official forecast and warnings again before setting off, carry appropriate navigation tools and safety equipment, and inform someone of your intended route and expected return time before any remote or extended activity.

7. Subscription, Pricing and Payment

The Service is offered on a freemium basis, with core features available at no charge and premium features available through a paid subscription. Subscriptions are billed on a recurring basis (monthly or annually, as selected) until cancelled.

Where a free trial is offered, if you do not cancel before the trial ends, your payment method will be charged the applicable subscription fee.

You may cancel a paid subscription at any time. Cancellation takes effect at the end of the current billing period; you retain access to paid features until that date. We do not offer partial refunds except where required by law.

We will give at least 30 days' notice of any price increase. Continued use after the new price takes effect constitutes acceptance.

8. Intellectual Property

All intellectual property in the Service, including the AI route-generation system, OS map integrations, software, interface design, and branding, is owned by or licensed to HH Ventures. These Terms do not transfer any IP rights to you.

Route outputs and GPX files generated by the Service are licensed to you for personal, non-commercial use only. You may not publish, redistribute, or commercially exploit generated routes or content without our prior written consent.

If you provide feedback or suggestions, you grant us a perpetual, royalty-free, worldwide licence to use that feedback for any purpose without obligation to you.

9. User-Generated Content

If the Service permits you to submit content (such as route feedback or reviews), you retain ownership but grant HH Ventures a non-exclusive, royalty-free licence to use it for operating and improving the Service. You must not submit content that is unlawful, offensive, or that misrepresents rights-of-way information in a manner likely to mislead other users.

10. Data Protection and Privacy

Your use of the Service is subject to our Privacy Policy, incorporated into these Terms by reference. We process your personal data in accordance with the UK GDPR and the Data Protection Act 2018.

11. Third-Party Services

The Service integrates with Ordnance Survey, Google Places, Met Office weather data, and your device's GPS hardware. These are governed by their own terms and privacy policies. We are not responsible for the accuracy, availability, or conduct of any third-party service.

12. Disclaimers and Limitation of Liability

The Service is provided "as is" and "as available." We make no warranties as to the accuracy of AI-generated routes, the legality of any suggested path, or the reliability of GPS navigation.

To the fullest extent permitted by law, our total aggregate liability to you shall not exceed the greater of: (a) fees you have paid to us in the preceding 12 months; or (b) £50. Nothing in these Terms excludes liability for death or personal injury caused by our negligence, fraud, or any liability that cannot be excluded under the Consumer Rights Act 2015.

13. Indemnification

You agree to indemnify and hold harmless HH Ventures from any claims, damages, or expenses arising from your use of the Service, your breach of these Terms, or your violation of any third-party rights, including claims arising from trespass or personal injury resulting from reliance on a generated route.

14. Termination

We may suspend or terminate your access without notice for breach of these Terms or if we discontinue the Service. Clauses that by their nature survive termination (including Sections 8, 10, 12, 13, and 15) continue in full force.

15. Governing Law and Disputes

These Terms are governed by the laws of England and Wales. Users ordinarily resident in Scotland or Northern Ireland may bring proceedings in their local courts. If you have a complaint, contact us first at support@hhventures.co. We will endeavour to respond within 14 working days.

16. Changes to These Terms

We will notify you of material changes at least 14 days before they take effect. Continued use after that date constitutes acceptance.

17. General

17.1 Entire Agreement. These Terms, together with our EULA and Privacy Policy, constitute the entire agreement between you and HH Ventures with respect to the Service.

17.2 Severability. If any provision is found invalid or unenforceable, it shall be modified to the minimum extent necessary. Remaining provisions continue in full force.

17.3 Waiver. Failure to enforce any provision shall not constitute a waiver of that or any other provision.

17.4 Assignment. You may not assign rights under these Terms without our prior written consent. We may assign these Terms to any successor entity.

17.5 Force Majeure. We shall not be liable for failure to perform where that failure arises from circumstances beyond our reasonable control.

17.6 No Partnership. Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship.
